Terms of Service

These Terms of Service govern your access to and use of Leagion (“Leagion”, “we”, “us”), a web-based lead-generation platform operated by Formacha Digital. By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.

You must be at least 18 years old and authorized to enter contracts on behalf of the business you represent. You are responsible for keeping your login credentials secure and for any activity that occurs under your account. Notify us immediately at hello@leagion.ai if you suspect unauthorized access.

Leagion is offered on a recurring monthly subscription at the rate shown on our pricing page. Subscriptions renew automatically until cancelled. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods. All fees are exclusive of applicable taxes.

You agree not to:

• Resell, sublicense, or distribute Leagion data to third parties.
• Use the service to send unsolicited communications that violate applicable anti-spam or telemarketing laws (including TCPA, CAN-SPAM, and state equivalents).
• Scrape, mirror, or attempt to derive the source code or underlying data infrastructure of Leagion.
• Use the service to discriminate against any protected class or for any unlawful purpose.
• Upload or send content you do not own or have the right to use, including copyrighted images or text.

Lead lists you generate through your searches are yours to use for your business. The underlying directory data is sourced from third-party providers; we do not warrant its accuracy or completeness. You are responsible for compliance with applicable communication laws when contacting prospects.

Our handling of personal information is described in our Privacy Policy.

We aim for high availability but do not currently offer a formal uptime SLA. We may perform scheduled maintenance and will give reasonable notice when feasible.

Leagion, the Leagion mark, and the underlying software are the property of Formacha Digital. Your account content remains yours. You grant us a limited license to host, process, display, and transmit that content solely to operate the service for you, including sending emails and printing and mailing postcards you create through the service.

You represent and warrant that you own or have the necessary rights to all content you upload or send through the service, including postcard artwork and email content, and that it does not infringe anyone's intellectual property or other rights. You agree to indemnify us against claims arising from content you supply.

If you believe content available through Leagion infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent at hello@leagion.ai with the subject “DMCA Notice”, including the information required by 17 U.S.C. § 512(c)(3). We will remove or disable access to infringing material and honor valid counter-notices where the DMCA provides for them. We terminate the accounts of repeat infringers.

You may cancel at any time. We may suspend or terminate accounts that violate these terms, that repeatedly infringe intellectual property rights, or that pose a security or legal risk. Upon termination, access to the service ends and your data is handled per the Privacy Policy.

The service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. We do not warrant that lead data is accurate, current, or fit for any particular purpose. AI-generated content (lead scores, drafted emails, call scripts, chat responses) is produced by machine models, can be inaccurate, and is provided as a starting point only; you are responsible for reviewing it before relying on it or sending it.

To the fullest extent permitted by law, our aggregate liability arising out of or related to the service is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

Any dispute arising out of or relating to these terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court or seek injunctive relief for intellectual property infringement.

You and Leagion each waive the right to a jury trial and the right to participate in a class action, class arbitration, or other representative proceeding. Disputes may only be brought on an individual basis.

You may opt out of this arbitration agreement by emailing hello@leagion.ai with the subject “Arbitration opt-out” within 30 days of first accepting these terms.

We may update these terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the service after the effective date constitutes acceptance.

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles. For matters not subject to arbitration, the state and federal courts located in Florida have exclusive jurisdiction, and each party consents to venue there.
